The Northern Italian Logistics fund, an Italian real estate AIF reserved for professional investors and focused on investments in logistics assets in the Veneto, Friuli Venezia Giulia, and Emilia Romagna regions, has launched.

Born from an investment agreement involving Partners Group as the main fund subscriber, Investire SGR as the management company, and Impresa Tonon as the general contractor, the fund recently completed the first of several planned acquisitions in Friuli. The transaction was financed by UniCredit, acting as underwriter, mandated lead arranger, sole bookrunner, green structurer, and hedging coordinator.

Legance assisted Partners Group and the Northern Italian Logistics fund with urban planning law analyses of the development projects and the negotiation of the investment agreement, construction contracts, and acquisitions. The multidisciplinary Legance team was led by partner Giuseppe Abbruzzese, supported by senior counsel Alessandra Palatini, counsel Francesco Castoldi, and associates Simona Carretta and Beatrice Ramelli for urban planning aspects, feasibility studies, and due diligence. Counsels Jacopo Garonna and Francesca Iannò, and associate Benedetta Frizzi, handled the negotiation of the investment agreement, the construction documentation, and the real estate acquisitions, coordinating with Partners Group’s foreign legal advisors. Partner Claudia Gregori, senior counsel Francesco Di Bari, and senior associate Monica Califano oversaw tax aspects, while counsel Riccardo Daguati managed regulatory matters.

Impresa Tonon was assisted in all legal matters by TP LEGAL – Studio Legale, with a team led by founding partner Gian Luca Toppan and senior associate Enrico Del Col.

Bird & Bird assisted Investire SGR with partners Raimondo Maggiore and Antonella Ceschi, along with counsels Giovanni Bevilacqua and Federico Grazioli, in negotiating the investment agreement, the fund’s management regulations, as well as the construction contracts and acquisitions.

BonelliErede handled financing for the Northern Italian Logistics fund, with partner Emanuela Da Rin, leader of the Banking and Real Estate Focus Teams, alongside managing associate Federico Cocito, also a member of the Real Estate Focus Team, and associate Nicoletta Di Bari.
