G&PH Holding, assisted by LEXIA, sold 67% of Innovation Pharma, a company already owning two pharmacies in Turin and Verbania, to FARMACOSMO S.p.A., a company listed on Euronext Growth Milan, which was assisted by Orrick Italia, through a capital increase.
The transaction involved the subscription of a reserved capital increase by Farmacosmo and the consequent acquisition of a 67% stake in the share capital of Innovation Pharma from G&Ph Holding, through an in-kind contribution of its stake in Farmacia De Leo, valued at approximately 4.6 million euros.
G&PH Holding was assisted by Lexia Avvocati, with managing partner Francesco Dagnino handling the legal aspects, and by Hoop Capital, represented by Antongiulio Marti, and SCM SIM, represented by Andrea Murdaca, as financial advisors.
Farmacosmo was assisted by Orrick for legal aspects and by d’Aniello & Associati for financial and tax due diligence activities.
Notary Demetrio Maltese handled the notarial aspects of the transaction.
